EMP/REACT - Terms and Conditions of Use

 

 

1.             Materials

 

 

1.1           “Licensed Materials” means all those audio, visual and audiovisual materials licensed by EMP/REACT to the Licensee in the License Agreement.

 

 

1.2           EMP/REACT shall use its best endeavours to supply or provide access to the Licensee copies of the Licensed Materials as the Licensee may reasonably require to exercise the rights granted in the License Agreement.

 

 

1.3           The Licensee warrants the Licensed Material shall only be used within the production and for the use specified.  Use in any other context without the express permission of EMP/REACT is specifically excluded.

 

 

1.4           Upon completion of the production, Licensee shall destroy or return to EMP/REACT all copies of the Licensed Material in its possession except such material as is contained in the production.  The Licensee shall be responsible for all laboratory, carriage, customs and other costs of a similar nature in respect of manufactured copies of the Licensed Materials in accordance with the provisions of this clause.

 

 

2.             Warranties

 

 

2.1           If the Licensed Materials contain copyrighted material which EMP/REACT cannot license, the Licensee shall obtain all necessary consents from the owners of that copyrighted material prior to the exercise of any rights granted herein.

 

 

2.2           If the Licensed Materials contain vision and/or sound of an identifiable individual and the Licensee intends to use the Licensed Materials in such a way as may or will imply that the individual endorses a product or service, or a political advertisement, then the Licensee must obtain the individual’s prior permission for that use.

 

 

2.3           Licensee shall ensure at all times that it will:

 

 

-          identify Eagle Media Productions (“EMP”) as the source of the Licensed Materials;

 

-          exercise due diligence in ensuring the accuracy of the description of the Licensed Materials;

 

-          not manipulate and/or modify the Licensed Materials in any way;

 

-          not represent the use of the Licensed Materials as an official version or as having been made in affiliation with, or with the endorsement of, EMP, REACT or Eagle Rock Entertainment.

 

 

2.4           The Licensee indemnifies EMP/REACT against any loss, claim, demand, liability, cost, damages and expenses (including reasonable legal fees) resulting from any breach of 2.1 through 2.3 above directly or indirectly relating to Licensee’s use of the Licensed Materials.

 

The ability to reproduce material found on this site is governed by English).  EMP/REACT makes every reasonable effort to identify the information source and to ensure that it is accurately portrayed. In relevant instances, EMP/REACT will notify purchasers when they should be aware of any particular rights issues and may need to obtain separate permissions.

 

2.6           EMP/REACT has made every reasonable effort to locate copyright owners. 3.             Accreditation

 

3.1           An accreditation to EMP/REACT must be given in the end credits of the production in a form and order to be agreed with EMP/REACT.

 

Restricted Materials

 

Some materials in the EMP/REACT archives are subject to use/reproduction restrictions which may apply to material protected by copyright or in the public domain.  In cases like these, the use/reproduction restrictions will be clearly indicated in the License Agreement.

 

Third Party Materials

 

Some of the materials on the REACT website are owned by other organizations or individuals and may be protected by copyright. In such cases, users must obtain written permission from the copyright owners prior to reproducing the material.

 

Public Domain Materials

 

Some of the material you will find on the REACT website is in the public domain (meaning that the copyright protection has expired) and may be reproduced without permission or paying royalties as long as you abide by EMP/REACT’s Terms and Conditions of Use.
